Let’s Grō Terms and Conditions

Effective Date: September 1, 2026

Last Updated: September 20, 2026

These Let’s Grō Terms and Conditions (the "Terms") are a legally binding agreement between Let’s Grō, LLC, a Wyoming limited liability company ("Let’s Grō," "Grō," "we," "us," or "our"), and the individual or entity that accesses or uses the Services ("Customer," "you," or "your").

These Terms govern your access to and use of the website at letsgro.com, the Let’s Grō software platform, customer relationship management tools, communications tools, artificial-intelligence features, communities, courses, templates, funnels, websites, automations, training, support, mobile applications, and related products or services we make available (collectively, the "Services").

By checking the box to accept these Terms, creating an account, or purchasing or activating a subscription, you agree to these Terms and acknowledge our Privacy Policy at https://letsgro.com/privacy. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.

1. Eligibility and Account Security

You must be at least 18 years old and legally capable of entering into a binding contract. You agree to provide accurate, current, and complete account information and keep it updated.

You are responsible for:

•     safeguarding usernames, passwords, API keys, phone numbers, domains, and other credentials;

•     enabling two-factor authentication for your account and each Authorized User where available;

•     all activity occurring through your account and the accounts of your Authorized Users;

•     assigning appropriate permissions to Authorized Users and promptly removing access when an Authorized User should no longer have it; and

•     notifying us promptly at [email protected]of suspected unauthorized access or a security incident.

"Authorized Users" are the team members, assistants, and other people you permit to use your account. You may not share one login among multiple users unless your subscription expressly permits it. We are not responsible for losses resulting from unauthorized access that two-factor authentication or other security measures we make available would reasonably have prevented.

We may access your account when reasonably necessary to provide support, administer or secure the Services, investigate suspected violations, comply with law, or as otherwise described in our Privacy Policy.

2. The Services and Subscription Plans

Services, features, usage limits, user seats, funnels, websites, courses, storage, support levels, and other entitlements vary by plan. Your checkout page or plan description in effect when you purchase (the "Order") is incorporated into these Terms.

We may improve, modify, replace, or discontinue features from time to time. We will use commercially reasonable efforts to provide advance notice when a material reduction to a paid core feature will significantly affect active subscribers, except where changes are required for security, legal compliance, carrier requirements, or a third-party provider.

Features labeled beta, preview, experimental, or similar are provided for evaluation, may be changed or discontinued at any time, and may be less reliable than generally available features.

3. Independent Platform; No doTERRA Affiliation

Grō is an independent technology and education provider. Grō is not owned, operated, sponsored, endorsed, approved, or controlled in any way by doTERRA International, LLC or its affiliates. doTERRA and its related names, trademarks, products, and logos belong to their respective owners.

If you are a doTERRA Wellness Advocate or other independent seller, you are solely responsible for operating your independent business in compliance with:

•     your company’s current policies, procedures, branding and trademark rules, compensation-plan rules, and compliance guidance;

•     applicable laws and regulations; and

•     any disclosure obligations concerning your independent status, material connections, testimonials, or earnings.

The Services do not create an employment, agency, franchise, fiduciary, joint venture, partnership, or representative relationship between you and Grō. You may not state or imply that Grō or doTERRA has approved your specific content, claims, business practices, or results.

4. Your Responsibilities and Legal Compliance

You control your business, campaigns, contacts, content, offers, products, services, and communications. You are the sender, publisher, seller, and responsible party for activities conducted through your account, even when you use a Grō template, automation, example, training, or artificial-intelligence feature.

You are solely responsible for reviewing, testing, customizing, and approving all content and workflows before publication or activation. You must maintain all notices, consents, records, licenses, permits, policies, and disclosures required for your activities.

Without limiting the above, you agree to comply with all applicable:

•     privacy, data-protection, consumer-protection, advertising, telemarketing, and electronic-communications laws;

•     Telephone Consumer Protection Act (TCPA), FCC rules, national and state Do Not Call requirements, the CAN-SPAM Act, and similar state or international laws;

•     intellectual-property, publicity, confidentiality, accessibility, and unfair-competition laws;

•     health, wellness, cosmetic, food, supplement, and product-claim requirements, including applicable FTC and FDA requirements; and

•     tax, refund, auto-renewal, subscription, e-commerce, contest, sweepstakes, and income-opportunity requirements.

We do not provide legal, tax, medical, regulatory, or compliance advice. Platform settings, templates, consent language, and training are tools—not a determination that your particular use is lawful.

5. Messaging, Calling, Email, and A2P Compliance

You may contact a person through the Services only when you have a lawful basis and all consent required for the type of communication, technology, content, and jurisdiction involved. You must retain reliable records of consent, including the language shown, date, time, source, telephone number or email address, and the person or business on whose behalf consent was collected.

You agree that you will:

•     not purchase, rent, scrape, harvest, or use unlawfully obtained contact lists;

•     not send spam, unlawful solicitations, or messages to recipients who have not provided required consent;

•     accurately identify yourself and the business responsible for each communication;

•     include required disclosures, physical mailing addresses, and opt-out instructions;

•     promptly honor STOP, unsubscribe, revocation, Do Not Call, and other opt-out requests;

•     maintain and scrub against applicable suppression and Do Not Call lists;

•     complete any telemarketing registration, licensing, or bonding required in the states where you call or text before sending communications there;

•     comply with carrier, phone-number, A2P 10DLC, toll-free verification, sender-authentication, and acceptable-use requirements;

•     not evade filtering, registration, volume, or identity requirements;

•     cooperate with reasonable information requests from Grō, our providers, carriers, regulators, or law enforcement concerning communications sent through your account; and

•     use emergency calling only through a service expressly designed and authorized for that purpose.

Registration or approval of a brand, campaign, phone number, email domain, or account does not guarantee message delivery and does not transfer compliance responsibility to Grō. Carriers and providers may filter or block communications at their discretion.

We may suspend communications capabilities, impose limits, require information or corrective action, or terminate Services if we believe your use creates legal, security, deliverability, carrier, reputational, or platform risk.

6. Health, Product, Testimonial, and Earnings Claims

You are solely responsible for every statement, testimonial, image, product description, health claim, treatment claim, income claim, lifestyle claim, before-and-after representation, and disclosure that you publish or send.

You may not use the Services to:

•     diagnose, treat, cure, or prevent disease, or claim that a product does so, unless the statement is lawful and appropriately authorized;

•     make false, misleading, unsubstantiated, or noncompliant product, health, safety, testimonial, or earnings claims;

•     imply guaranteed health, rank, business, or income results;

•     omit required typical-results, material-connection, independent-representative, or other disclosures; or

•     provide emergency medical services or substitute platform content for advice from a qualified professional.

Any examples, scripts, templates, trainings, testimonials, or suggested language supplied through the Services are educational starting points only. You must independently review and adapt them for your facts, audience, products, company policies, and jurisdiction.

7. Customer Data and Privacy Roles

"Customer Data" means data, content, contact records, messages, files, and other information submitted to or processed through your account by or for you.

As between you and Grō, you retain your rights in Customer Data. You grant Grō and its service providers a nonexclusive, worldwide, royalty-free license to host, copy, transmit, display, modify, and otherwise process Customer Data only as reasonably necessary to provide, secure, and support the Services and to comply with law.

For personal data you collect from your contacts, customers, team members, or prospects, you determine why and how that data is used. You are responsible for providing a legally sufficient privacy notice, responding to privacy requests, limiting collection and use, obtaining required consent, and instructing us regarding processing. Where applicable, you act as the controller or business and Grō acts as your processor or service provider. If we receive a privacy request concerning your Customer Data, we will forward it to you and will not respond to it except as required by law. If you and Grō enter into a Data Processing Addendum ("DPA"), it forms part of these Terms.

You represent that you have all rights, permissions, notices, and lawful bases necessary for Grō and its providers to process Customer Data as contemplated by these Terms.

Wellness and Sensitive Information

You may record limited, general wellness information about a contact—such as wellness goals or product interests the contact has shared with you—only with that contact’s consent and only as needed for your relationship with that contact. You may not submit to the Services:

•     diagnoses, medical records, prescription or treatment information, or protected health information governed by HIPAA;

•     any health or wellness information about a contact into an artificial-intelligence feature;

•     full payment-card data, Social Security numbers, or government identification numbers; or

•     other sensitive or regulated data, unless Grō has expressly authorized it in writing for a specific feature.

The Services are not designed or offered as a HIPAA-compliant service.

De-identified Data

We may create and use aggregated or de-identified data that cannot reasonably be used to identify you or any individual to operate, analyze, secure, and improve the Services, including Grō AI. We will not attempt to re-identify such data. We do not use Customer Data that identifies you or your contacts to train artificial-intelligence models.

8. Data Security, Export, and Leaving Grō

We use reasonable administrative, technical, and organizational safeguards designed to protect data. No system is completely secure, uninterrupted, or immune from loss. You are responsible for maintaining appropriate copies or exports of Customer Data and for configuring your account securely.

You must not introduce malware, attempt unauthorized access, conduct penetration testing without written authorization, bypass security controls, or interfere with the integrity or availability of the Services.

Upon cancellation or termination, your access may end immediately or at the end of the paid subscription period, depending on the reason for termination and your Order. Before access ends, you are responsible for exporting your data using available tools. Grō is not required to provide custom exports, migration services, or engineering assistance. Subject to law, technical limitations, backup cycles, and our retention practices, Customer Data may be deleted after [30] days following termination. We are not obligated to retain or recover deleted data after that period.

Account Transfers

Your subscription does not include ownership of Grō’s agency account, software platform, snapshots, Grō Content, Grō AI, or provider contracts. Transfers of your account to another agency or provider are subject to Grō’s transfer policy in effect when requested and to our platform provider’s rules, which in limited circumstances may permit a transfer without Grō’s approval. If a transfer is approved:

•     you must pay any disclosed nonrefundable transfer or migration fee and all amounts owed before processing;

•     Grō Content, Grō AI, snapshots, licensed templates, shared assets, and features that cannot lawfully or technically be transferred will be removed or excluded;

•     you are responsible for establishing new provider, billing, domain, email, phone, integration, and support arrangements;

•     transfers are not guaranteed and may cause interruption, configuration changes, loss of functionality, or new provider terms; and

•     Grō is not responsible for actions taken by the receiving provider or agency after transfer.

Phone Numbers and Domains

Phone numbers you port into the Services from another carrier remain yours and may be ported out on request, subject to carrier rules and payment of amounts owed. Phone numbers obtained through the Services are provided through our providers; if you want to keep an eligible number, you must complete an approved port before account access ends. Numbers that are not ported may be released after cancellation and may not be recoverable.

Domains purchased through the Services may be registered in the name of our platform provider rather than in your name, and any transfer is subject to that provider’s and the registrar’s rules. We recommend registering any domain you want to keep through your own registrar and connecting it to the Services.

9. Customer Content

You retain ownership of Customer Content you create or upload. "Customer Content" includes websites, pages, messages, images, videos, courses, community posts, offers, workflows, and other materials supplied by you, but excludes the Services, Grō Content, Grō AI, and Third-Party Services.

You represent and warrant that Customer Content and its use through the Services:

•     does not infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;

•     is accurate to the extent required by law and is not fraudulent, deceptive, defamatory, obscene, harassing, discriminatory, or unlawful;

•     contains all required permissions, releases, disclosures, and licenses; and

•     does not promote illegal activity, violence, exploitation, or prohibited goods or services.

We may remove or restrict Customer Content when we reasonably believe it violates these Terms, applicable law, third-party requirements, or the rights or safety of others. We are not obligated to monitor or preapprove Customer Content.

10. Grō Content, Grō AI, and License

The Services and all software, templates, snapshots, funnels, websites, automations, workflows, copy, graphics, videos, courses, documentation, methods, and other materials supplied by or licensed to Grō ("Grō Content") are protected by intellectual-property laws. "Grō AI" means Grō’s artificial-intelligence features and the system prompts, instructions, knowledge bases, retrieval systems, workflows, configurations, and evaluation methods used to operate them. Grō retains all rights in Grō Content and Grō AI.

During an active subscription and subject to these Terms, Grō grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to use the applicable Grō Content solely to operate your own business through the Services. Unless an Order or separate license expressly permits it, you may not:

•     sell, sublicense, share, distribute, publish, export, or give Grō Content or editable copies to another person;

•     use Grō Content, Grō AI, or AI output to build, train, or operate a competing product, AI system, template library, SaaS platform, or service;

•     systematically query, extract, or copy Grō AI responses or Grō Content to replicate Grō’s knowledge, methods, or features;

•     copy, scrape, reverse engineer, decompile, frame, mirror, or create derivative commercial template products from the Services or Grō Content;

•     remove copyright, trademark, attribution, license, or proprietary notices; or

•     allow a consultant, downline member, client, team member, or other third party to use Grō Content outside your authorized account or license.

Your ownership of Customer Content does not include underlying Grō Content incorporated into it. Any rights not expressly granted are reserved.

After You Leave

When your subscription ends, your right to access Grō Content, Grō AI, and hosted copies ends. You may continue to use finished content you created and exported or published for your own business during your subscription—including customized copy, images, and AI output generated for your account. This does not include any right to use, copy, host, or distribute Grō’s underlying templates, snapshots, workflows, courses, training library, Grō AI, or editable source files.

You agree not to use Grō’s confidential or proprietary materials to solicit active Grō subscribers away from the Services or to operate a directly competing template library or white-labeled SaaS service. This restriction does not prevent lawful competition based on your independently developed knowledge, experience, materials, or publicly available information.

11. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not identify you publicly without permission.

12. Platform Providers and Third-Party Services

Grō is your service provider and primary support contact. For support, billing, or account questions, contact Grō rather than our platform providers.

The Services rely on or integrate with third parties, which may include our CRM platform provider, telecommunications carriers, email providers, domain registrars, payment processors, social networks, artificial-intelligence providers, app stores, and other vendors ("Third-Party Services"). You authorize us to transmit Customer Data to them as needed to provide functionality you use.

Our providers require certain restrictions on how their functionality is used. Those restrictions are reflected in these Terms and may be supplemented by notices we give you. You must not use the Services in any way that would cause Grō to breach its agreements with its providers. We may suspend, limit, or modify functionality when a provider requires it.

Grō does not control Third-Party Services and, to the extent permitted by law, is not responsible for their availability, security, pricing, policies, decisions, data practices, feature changes, outages, suspensions, or message delivery. A third party may restrict or terminate functionality without our control, and we may modify the Services in response.

13. Artificial Intelligence Features

Grō’s AI features are provided through Grō and its AI service providers, which process your inputs and related Customer Data to generate responses. We do not intentionally make one customer’s private Customer Data available to other customers through AI features.

You retain your rights in the inputs you submit. Subject to these Terms and third-party rights, you may use output generated for your account in your business. AI output may be inaccurate, incomplete, biased, noncompliant, or similar to output generated for others, and Grō does not guarantee its ownership, copyright protection, uniqueness, accuracy, legality, or fitness. You are responsible for reviewing and approving all AI output before use.

You may not:

•     submit health or wellness information about contacts, other sensitive personal information, or confidential information you are not authorized to share to any AI feature;

•     use AI features to provide individualized medical, legal, tax, financial, or other advice that would normally require a licensed professional, or present AI output as such advice;

•     deploy an AI chatbot, voice agent, or automated conversation to your contacts without clearly disclosing that they are interacting with AI;

•     use AI features to impersonate a person, generate fake reviews or testimonials, spread misinformation, or engage in deceptive or discriminatory practices; or

•     use AI features in a jurisdiction that prohibits or restricts their use.

Some AI features may be provided by our platform provider and are subject to the same rules and any additional restrictions we communicate to you.

14. Community Standards

Community areas are for constructive, lawful participation. You may not harass others, impersonate a person, solicit deceptively, publish private information without permission, scrape member information, or use community access to build unauthorized contact or marketing lists.

Community posts reflect the views of their authors, not Grō. We may moderate, remove, or restrict content or access, but we are not responsible for member statements, conduct, transactions, or advice. You are responsible for evaluating any information shared by another member.

15. Fees, Usage Charges, Taxes, and Payment

You agree to pay all subscription fees, usage charges, add-ons, taxes, and other amounts shown in your Order or incurred through your account. Usage-based charges may include phone numbers, A2P or carrier fees, calls, SMS/MMS, email, AI, domains, integrations, storage, or other metered services. Usage charges may be billed in arrears, drawn from a wallet or balance, passed through, or marked up as disclosed at purchase or in the applicable pricing schedule.

You authorize Grō and its payment processor to charge your payment method for recurring and usage-based amounts without further approval. You must keep a valid payment method on file. Except where law or your Order requires otherwise, fees are stated in U.S. dollars and are nonrefundable.

You are responsible for sales, use, excise, value-added, and similar taxes, excluding taxes based on our net income. We may suspend Services for failed, reversed, disputed, overdue, or fraudulent payments after any notice required by law.

We may change pricing on advance notice. New pricing will apply at the next renewal occurring after the notice period stated in the notice or as otherwise permitted by law.

Wallet Balances

If your account includes a prepaid wallet, you may request a refund of any unused cash-funded wallet balance, less amounts owed, within 30 days after your account is canceled or terminated. Balances not requested within that period are forfeited to the extent permitted by law. Promotional credits have no cash value, are nonrefundable, and expire [90] days after they are issued unless otherwise stated.

16. Free Trials, Promotions, and Plan Changes

Free trials and promotions may have additional terms and may be modified or withdrawn where permitted by law. Unless you cancel before a trial ends, your subscription will automatically convert to a paid subscription at the rate disclosed when you started the trial.

Plan upgrades may take effect and be charged immediately. Downgrades generally take effect at the next renewal and may result in loss of features, capacity, content, or data. You are responsible for exporting affected data before a downgrade.

17. Renewal, Cancellation, and Refunds

Subscriptions automatically renew for successive billing periods shown in your Order unless canceled before the renewal date using the cancel option in your account settings. When you cancel, we may offer you the option to speak with our team first; that conversation is optional, and you may complete your cancellation without it. Canceling stops future renewals but does not refund amounts already paid or incurred, except where required by law.

Your subscription remains active through the end of the current paid period unless it is terminated for cause, chargeback, security risk, unlawful conduct, or another ground permitted by these Terms. Failure to use the Services does not pause billing or create a right to a refund.

Usage charges and any custom work are nonrefundable once incurred, except as stated in the applicable Order or required by law.

18. Suspension and Termination

You may terminate these Terms by canceling all Services and ceasing use. We may suspend, limit, or terminate access immediately if:

•     you materially breach these Terms or an Order;

•     payment is overdue, reversed, disputed, or fraudulent;

•     your use creates or may create legal, security, carrier, deliverability, reputational, or operational risk;

•     required by law, court order, regulator, carrier, provider, or Third-Party Service;

•     you threaten, abuse, or harass our staff, contractors, partners, or users; or

•     we discontinue the Services.

Where practical and lawful, we will provide notice and an opportunity to cure. On termination, unpaid amounts become due. Sections that by their nature should survive will survive, including ownership, payment obligations, disclaimers, indemnification, liability limitations, dispute terms, and general provisions.

19. Copyright Complaints

If you believe content in the Services infringes your copyright, send a notice to our designated agent at DMCA AGENT NAME / [email protected] / 2525 N Three Fls Wy, Alpine, UT 84004 containing the information required by the Digital Millennium Copyright Act. We may remove content and terminate repeat infringers where appropriate.

20. Confidentiality

Each party may receive nonpublic information that is identified as confidential or that reasonably should be understood as confidential ("Confidential Information"). The receiving party will use reasonable care to protect it and use it only to perform or receive the Services. Confidential Information does not include information lawfully known without restriction, independently developed, publicly available through no breach, or rightfully received from a third party.

Disclosure is permitted to personnel and service providers who need to know and are bound by confidentiality duties, and when legally required after providing notice where lawful.

21. No Professional Advice; No Guaranteed Results

The Services, Grō Content, Grō AI, training, community discussions, and support are provided for technology, business-education, and general informational purposes. They are not medical, legal, tax, accounting, financial, or regulatory advice.

We do not guarantee leads, sales, rank, income, business growth, deliverability, compliance approval, health outcomes, customer retention, or any other result. Results depend on many factors outside our control, including your effort, decisions, offer, audience, market, claims, consent practices, platform configuration, and third-party providers.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, GRŌ CONTENT, GRŌ AI, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." GRŌ DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, AND RESULTS.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLIANT FOR YOUR PARTICULAR USE, OR COMPATIBLE WITH EVERY DEVICE, PROVIDER, JURISDICTION, OR BUSINESS MODEL; THAT DEFECTS WILL BE CORRECTED; OR THAT DATA OR COMMUNICATIONS WILL ALWAYS BE STORED, DELIVERED, OR RECOVERABLE.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

23. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Grō, its affiliates, owners, officers, directors, employees, contractors, licensors, and service providers from claims, demands, proceedings, damages, judgments, penalties, fines, settlements, losses, liabilities, and reasonable attorneys’ fees arising out of or related to:

•     your Customer Data, Customer Content, products, services, offers, claims, or business activities;

•     communications sent, calls made, or campaigns conducted through your account;

•     your violation of law, company policies, carrier rules, third-party terms, these Terms, or an Order;

•     your infringement or violation of another person’s rights;

•     disputes between you and your contacts, customers, team members, or Authorized Users; or

•     misuse of the Services by you, your Authorized Users, or anyone using your account credentials.

We may control the defense and settlement of a covered claim, and you agree to cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on Grō without our written consent.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRŌ AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, SALES, BUSINESS, GOODWILL, USE, OPPORTUNITY, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR LOSS, CORRUPTION, UNAUTHORIZED ACCESS, OR FAILURE OF DATA OR COMMUNICATIONS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GRŌ AND THE ABOVE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO GRŌ FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.

These limitations reflect the allocation of risk between the parties and apply to the fullest extent permitted even if a remedy fails of its essential purpose. Some jurisdictions do not permit certain exclusions or limitations, so those provisions may not apply to you.

25. Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before filing a claim, each party agrees to send a written notice describing the dispute and requested relief to the other party and to attempt in good faith to resolve it for at least 30 days. Notices to Grō must be sent to the legal notice address in Section 28.

Except for eligible small-claims matters or requests for temporary injunctive relief concerning intellectual property, unauthorized access, or misuse of the Services, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. Arbitration will take place in Utah, Utah, remotely, or at another mutually agreed location. The Federal Arbitration Act governs this section.

Claims may be brought only on an individual basis. Neither party may participate in a class, collective, consolidated, mass, or representative action or arbitration. The arbitrator may award relief only to the individual party seeking relief and only as necessary to resolve that party’s claim.

Opt-out right: You may opt out of arbitration by sending written notice to [email protected] / 2525 N Three Fls Wy, Alpine, UT 84004 within 30 days after first accepting these Terms. Your notice must include your name, account email, business name, and a clear statement that you opt out of arbitration.

26. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. For disputes not subject to arbitration, each party consents to exclusive jurisdiction and venue in the state and federal courts located in Utah, Utah, and waives objections to those courts.

27. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last Updated" date. For material changes, we will provide notice by email, in-product message, or another reasonable method before the changes take effect.

Changes apply prospectively. Your continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law. If you do not agree to a material change, your remedy is to cancel the Services before it takes effect.

28. Notices

We may send operational and legal notices to the email address associated with your account or through the Services. You must keep your contact information current. Legal notices to Grō must be sent to:

Let’s Grō, LLC

2525 N Three Fls Wy, Alpine, UT 84004

[email protected]

29. General Terms

These Terms, the Privacy Policy, your Order, and any DPA or other terms expressly incorporated by reference form the entire agreement concerning the Services and supersede prior discussions or agreements on the same subject. If there is a conflict, the following order applies: a signed agreement between you and Grō; the DPA; these Terms; the Privacy Policy; then online plan descriptions.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, financing, or by operation of law. No waiver is effective unless in writing, and a failure to enforce is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder remains effective.

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. Headings are for convenience only. Electronic acceptance and records have the same effect as originals. These Terms do not create third-party beneficiaries.

30. Grō Platform & Intellectual Property

Grō is a proprietary platform created through the combination and customization of technology, integrations, AI, workflows, systems, content, training, resources, community, market, and other tools. By using Grō, you agree not to copy, reproduce, reverse engineer, recreate, extract, disclose, or use Grō’s non-public systems, configurations, workflows, content, technology, or other proprietary elements to build, assist, or provide a competing or substantially similar product or service. Grō may incorporate third-party technologies, but the customized Grō platform, experience, content, systems, and proprietary integrations are owned by or licensed to Grō and may be used only as authorized through your Grō account.
